Welcome to Shadow's Dash! These Terms of Service ("Terms") govern your access to and use of Shadow's Dash, a Software as a Service (SaaS) platform that provides dashboard management and analytics for server hosting companies ("Service"). By accessing or using the Service, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you may not use the Service.

1. Acceptance of Terms

By registering, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. Shadow's Dash reserves the right to update or modify these Terms at any time. Your continued use of the Service after any changes will constitute your acceptance of such changes.

2. Eligibility

To use the Service, you must be at least 18 years old or have reached the age of majority in your jurisdiction. You must have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

3. Account Registration

3.1 Account Creation: You must create an account to access and use the Service. You are responsible for providing accurate and complete information during the registration process and for updating such information as necessary.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Shadow's Dash immediately of any unauthorized use of your account or any other breach of security.

4. Use of the Service

4.1 License: Subject to these Terms, Shadow's Dash grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your internal business purposes.

4.2 Prohibited Activities: You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to any portion of the Service or its related systems or networks.
• Modify, adapt, or hack the Service, or otherwise attempt to gain unauthorized access to the Service or its related systems.
• Use the Service to transmit or store any content that is unlawful, harmful, or otherwise objectionable.

5. Fees and Payment

5.1 Subscription Fees: Access to the Service requires payment of subscription fees. Fees are billed in advance on a monthly or annual basis, as selected during registration.

5.2 Refund Policy: If you are not satisfied with the Service, you may request a refund within 14 days of your initial purchase or renewal of a subscription, as stated in French law. To request a refund, please contact Shadow's Dash support within the 14 days period. Refunds will be processed within 1-15 days of approval and credited back to your original method of payment. If you purchased an item with this money, it will be canceled as you get your refund. Please note that after 14 days, all fees are non-refundable. Balance top-ups are also not refundable.

5.3 Late Payments: If payment is not received within 7 days of the due date, Shadow's Dash reserves the right to terminate your access to the Service until payment is made.

5.4 Taxes: You are responsible for any taxes, duties, or other governmental levies or fees related to your use of the Service.

6. Data and Privacy

6.1 Data Ownership: You retain all rights to your data that you submit to the Service ("Customer Data"). Shadow's Dash does not claim ownership of your Customer Data.

6.2 Data Usage: By using the Service, you grant Shadow's Dash a non-exclusive, worldwide, royalty-free license to use, reproduce, and process your Customer Data for the purpose of providing the Service.

6.3 Privacy Policy: Shadow's Dash's use of your data is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you agree to the collection and use of information in accordance with the Privacy Policy.

7. Intellectual Property

7.1 Ownership: All intellectual property rights in the Service, including but not limited to software, design, logos, and trademarks, are owned by Shadow's Dash or its licensors. You do not acquire any ownership rights by using the Service.

7.2 Feedback: If you provide feedback, suggestions, or recommendations regarding the Service ("Feedback"), Shadow's Dash may use such Feedback without any obligation to you, and you hereby grant Shadow's Dash a perpetual, irrevocable, royalty-free license to use and incorporate such Feedback into the Service.

8. Termination

8.1 Termination by You: You may terminate your account at any time by contacting Shadow's Dash support. Upon termination, your right to access and use the Service will immediately cease.

8.2 Termination by Shadow's Dash: Shadow's Dash may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, effective immediately.

8.3 Effect of Termination: Upon termination, all licenses granted to you under these Terms will terminate, and you must immediately cease all use of the Service. Any outstanding fees owed to Shadow's Dash must be paid in full.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties: The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. Shadow's Dash disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 Limitation of Liability: In no event shall Shadow's Dash be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, arising out of or in connection with your use of the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless Shadow's Dash, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of another.

11. Miscellaneous

12.1 Entire Agreement: These Terms, together with any other legal notices and agreements published by Shadow's Dash in connection with the Service, constitute the entire agreement between you and Shadow's Dash with respect to the Service.

12.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

12.3 No Waiver: The failure of Shadow's Dash to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Shadow's Dash's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. Shadow's Dash may assign or transfer these Terms at its sole discretion, without restriction.
